  Affiliate Program Regulations

Affiliate Program Regulations

The WeMeet Club Affiliate Program, managed by Celtum Web S.r.l., allows users to contribute to the growth of the community by inviting new people to register on the platform through a personal referral link, receiving financial compensation for each valid new registration.

Participation is free and is reserved exclusively for adult individuals who make referrals on an occasional, non-regular and non-professional basis. For each validated new registration, a gross compensation of €0.10 is awarded. Payment may be requested once at least €30.00 gross has been accumulated, up to a maximum of €75.00 gross per individual payment.

These Regulations define the conditions of participation, the procedures for attributing and verifying registrations, the criteria for earning and paying compensation, and the rights, obligations and responsibilities of Affiliates and the Company. Joining the Program constitutes acceptance of the provisions set out below.

Art. 1 – Definition of the Parties and Purpose of the Program

These Regulations govern the terms and conditions for joining and participating in the WeMeet Club Affiliate Program (hereinafter referred to as the "Program"), promoted and managed by Celtum Web S.r.l. (hereinafter referred to as the "Company").

The Program allows participating users (hereinafter referred to as "Affiliates") to refer the WeMeet Club platform to other people through a personal and unique link, known as a "referral link", receiving financial compensation for each valid new registration attributed to them.

Participation in the Program is completely free and does not involve any obligation to purchase, invest in or subscribe to paid services.

Joining the Program constitutes acceptance of the conditions established in these Regulations.

Art. 2 – Participation Requirements and Occasional Nature of the Activity

The Program is reserved exclusively for adult individuals who make referrals on an occasional, non-regular and non-professional basis, outside the scope of any business or professional activity.

By joining the Program, the Affiliate declares:

  • a) that they are at least 18 years old;

  • b) that they participate exclusively in a personal and private capacity;

  • c) that they make referrals sporadically, occasionally and on a non-professional basis;

  • d) that they do not regularly carry out commercial promotion, intermediary or user acquisition activities within the Program;

  • e) that they do not carry out the activities covered by these Regulations as part of an activity requiring VAT registration;

  • f) that they provide truthful and up-to-date personal and tax information;

  • g) that they will promptly inform the Company of any changes to their tax status or the manner in which they carry out the activity.

Participation does not establish any employment, agency, commercial representation, representative mandate, franchising or continuous coordinated collaboration relationship.

The Affiliate acts independently, without subordination, working hours, exclusivity obligations, performance requirements or minimum user acquisition targets.

If the referral activity becomes regular, systematic, organised or professional, the Affiliate must promptly inform the Company and cease making new referrals under the Program.

The Company may terminate participation if the required conditions are no longer met, without prejudice to legitimately earned compensation and legal obligations.

The declarations made by the Affiliate do not replace the tax and social security assessments required under applicable law.

Art. 3 – Joining the Program

Participation takes place through the features made available on the WeMeet Club platform.

To participate, users must have a properly registered and active account on the platform.

Users must read and expressly accept these Regulations through the designated electronic procedure.

Participation is subject to meeting the requirements established in Article 2 and to the truthfulness of the declarations provided.

The Company may request additional information strictly necessary to verify eligibility and prevent improper use of the Program.

Any refusal of admission will be communicated to the person concerned, stating the reasons for the decision to the extent permitted by law.

Each Affiliate is assigned a personal referral link, which may be used exclusively in accordance with these Regulations.

Art. 4 – Operation of the Affiliate System

Each Affiliate has a personal referral link that allows new registrations on the WeMeet Club platform to be attributed to their account.

Attribution is carried out through the tracking and identification systems implemented by the Company, in compliance with applicable personal data protection legislation.

A registration is considered valid when:

  • a) it is completed by a real individual;

  • b) it concerns a genuinely new account;

  • c) it is correctly attributed to the Affiliate's referral link;

  • d) it is completed in accordance with the platform's mandatory registration procedures;

  • e) it passes any technical and anti-fraud checks;

  • f) it does not violate the WeMeet Club Terms and Conditions or these Regulations.

Recognition of compensation does not require the new user to purchase subscriptions, PASS memberships or other paid services.

Only one affiliate compensation payment may be recognised for each new user.

4.1 – Validation of Registrations

Registrations initially attributed to a referral link may be marked as "Under Review".

The Company carries out ordinary checks within 30 days of registration, except where justified anomalies require further investigation.

If anomalies arise, any extension of the verification period will be communicated to the Affiliate, stating the reasons and a reasonable timeframe for completing the checks.

Upon completion of the checks, each registration is assigned one of the following statuses:

  • Validated: registration recognised and compensation definitively earned.

  • Invalid: registration excluded from compensation for documented reasons.

  • Under Review: registration for which the necessary checks have not yet been completed.

Validated registrations contribute to determining the balance available for payment.

Subsequent inactivity or voluntary deletion of a properly registered user's account does not automatically result in the loss of compensation already validated, unless an original irregularity is subsequently established.

4.2 – Tracking and Disputes

The technical characteristics and any time limits of referral tracking are made available through the platform or the relevant information documentation.

The Company cannot guarantee the attribution of registrations that cannot be linked to the referral link through the designated technical tools.

However, the Affiliate may request a review if they believe that a registration has been incorrectly omitted or attributed.

The Company examines disputes proportionately, based on available technical and administrative data, and provides a reasoned response.

Art. 5 – Determination and Accrual of Compensation

The Company recognises gross compensation of €0.10 (ten euro cents) for each valid new registration made through the Affiliate's referral link.

Compensation is expressed in euros and is always understood to be gross of any withholding taxes required by applicable law.

The system provides the Affiliate with a dashboard displaying:

  • a) the number of attributed registrations;

  • b) the number of validated registrations;

  • c) any registrations currently under review;

  • d) the gross compensation balance earned and available;

  • e) amounts already paid;

  • f) any pending payment requests.

Compensation becomes available for payment only after the corresponding registration has been validated.

No compensation is recognised for:

  • a) false, duplicate or non-existent registrations;

  • b) accounts created using automated systems, bots or fraudulent procedures;

  • c) registrations made by the Affiliate using fictitious or multiple accounts;

  • d) registrations generated through manipulation of tracking systems;

  • e) registrations obtained through unlawful, misleading or otherwise prohibited conduct;

  • f) registrations subsequently found to be inauthentic or non-compliant with the established requirements.

Any adjustments to previously validated compensation must be supported by concrete and documented evidence and communicated to the Affiliate.

The Company may not arbitrarily cancel legitimately earned compensation.

Art. 6 – Minimum Threshold and Payment Procedures

The Affiliate may request payment of earned compensation when the available gross balance reaches at least €30.00 (thirty euros).

Each payment request must be for no less than €30.00 gross and no more than €75.00 (seventy-five euros) gross.

If the available balance exceeds €75.00, the Affiliate may request payment of up to €75.00 gross.

Any remaining amounts are retained in the Affiliate's balance and may be included in subsequent payment requests, subject to the established thresholds.

Multiple payment requests may be submitted over time, depending on the available balance and the required administrative checks.

The maximum limit of €75.00 applies exclusively to each individual payment and does not constitute an annual limit on the total compensation an Affiliate may earn.

Available compensation is not automatically cancelled or reset at the end of a month or calendar year.

6.1 – Payment Procedures

Payments are made exclusively by bank transfer to the bank account specified by the Affiliate, who must be the account holder or joint account holder.

Payment is subject to:

  • a) availability of the requested gross balance;

  • b) verification and validation of registrations;

  • c) accurate provision of personal, tax and banking details;

  • d) submission or confirmation of the required tax documentation;

  • e) successful completion of any administrative and anti-fraud checks.

The Company makes payment within 30 days of receiving a complete and valid request.

If documented anomalies or circumstances beyond the Company's control arise, the Affiliate will be promptly informed of the reasons for the delay and the steps required to complete payment.

Amounts not subject to dispute remain payable under the ordinary conditions.

6.2 – Gross Amounts, Withholding Taxes and Remaining Balance

All amounts stated in the Program are gross amounts.

Payments are made net of any mandatory withholding taxes, determined in accordance with the legislation applicable to the Affiliate's tax status.

For example, where the available balance is €90.00 gross, the Affiliate may request a maximum payment of €75.00 gross, leaving €15.00 in their balance.

The remaining amount may be paid once it reaches the minimum threshold together with subsequently earned compensation, without prejudice to Article 11 in the event of termination.

The maximum limit per payment does not alter the tax, social security or documentation obligations applicable to the compensation actually earned.

Art. 7 – Tax Obligations and Documentation

Before compensation is paid, the Affiliate must provide the Company with the information required for proper tax identification and payment processing.

In particular, the following information may be requested:

  • a) first name and surname;

  • b) tax identification number or equivalent tax identifier, where applicable;

  • c) date and place of birth;

  • d) full residential address;

  • e) country of tax residence;

  • f) bank account IBAN and account holder's name;

  • g) any additional information and tax declarations necessary in the specific circumstances.

Before the first payment, the Affiliate must submit a declaration confirming that the referral activity carried out under the Program is occasional, non-regular and non-professional.

This declaration must be updated if relevant circumstances change.

For each payment, the tax and accounting documentation required by applicable law is prepared, including, where appropriate, a compensation statement or receipt relating to the occasional activity.

The documentation may be generated through the Company's computer system and confirmed or signed by the Affiliate using methods appropriate to the nature of the document and applicable legal requirements.

Where Celtum Web S.r.l. is required to act as a withholding tax agent, it applies the withholding taxes required by law and fulfils the related obligations.

The Affiliate acknowledges that the net amount actually received may be lower than the gross compensation earned.

The Affiliate remains responsible for any personal tax reporting, tax and social security obligations arising from the compensation received.

Any stamp duty applicable to the documentation produced is paid in the cases and according to the procedures established by applicable law.

For individuals who are tax residents abroad, payment is subject to verification of the applicable tax and documentation requirements.

Art. 8 – Affiliate Responsibilities and Obligations

The Affiliate undertakes to make referrals lawfully, fairly, transparently and without misleading others.

In particular, the Affiliate agrees:

  • a) to use the referral link exclusively for the purposes of the Program;

  • b) not to disseminate false or misleading information about the platform or the services offered;

  • c) not to present themselves as an employee, representative, agent or commercial appointee of the Company;

  • d) not to use automated systems to generate registrations;

  • e) not to engage in spam through email, messaging, social networks or other means of communication;

  • f) not to use third-party personal data in breach of privacy legislation;

  • g) not to promote the service to minors;

  • h) not to use unlawful, defamatory, discriminatory content or content that infringes third-party rights;

  • i) not to use the WeMeet Club name, trademarks or logos in a way that creates confusion regarding their relationship with the Company;

  • j) to comply with any advertising transparency obligations applicable to the distribution of content containing remunerated links.

Given the private and occasional nature of the Program, paid advertising campaigns, professional promotional tools and systematic or organised user acquisition activities are not permitted.

Any official promotional materials provided by the Company may be used exclusively within the limits and according to the instructions provided.

Art. 9 – Checks, Suspensions and Disputes

The Company may carry out checks on affiliate activities to verify the validity of registrations, prevent fraud and ensure the proper functioning of the Program.

Checks must be proportionate to their purpose and based on objective evidence.

9.1 – Temporary Suspension Pending Verification

Where concrete evidence gives reasonable grounds to suspect irregularities, the Company may temporarily suspend payment of only the compensation affected by the verification.

If the anomalies concern the overall operation of the Affiliate's account, the Company may temporarily suspend the accrual of new compensation, providing a reasoned notification.

The suspension must be limited to the time reasonably necessary to complete the investigation.

Checks are ordinarily completed within 30 days of the dispute being initiated.

In particularly complex circumstances, this period may be extended by a further 30 days, subject to a reasoned notice to the Affiliate, without prejudice to any impediments arising from legal obligations or requests from competent authorities.

9.2 – Notification of Irregularities

The Affiliate is informed, by electronic communication or a notice on their dashboard, of any dispute concerning their activity.

The notification specifies, to the extent compatible with platform security and personal data protection:

  • a) the nature of the irregularity identified;

  • b) the registrations or compensation concerned;

  • c) any temporary measures adopted;

  • d) the procedures for requesting clarification or submitting observations.

9.3 – Right to Dispute

The Affiliate has the right to request clarification and challenge decisions concerning excluded registrations, adjustments to compensation or suspension of participation.

Disputes may be submitted through the Company's official support channels.

The Company provides a reasoned response within 30 days of receiving the dispute, unless specific investigative requirements are communicated to the Affiliate.

The Affiliate's right to seek remedies available under the law remains unaffected.

9.4 – Consequences of Established Violations

Where a breach of these Regulations is established, the Company may:

  • a) exclude irregular registrations from the count;

  • b) cancel compensation generated improperly;

  • c) terminate participation in the Program in cases of serious or repeated violations;

  • d) take any further measures permitted by law.

Legitimately earned compensation unrelated to the violation may not be automatically confiscated or cancelled as a penalty.

The Company retains the right to protect its interests before the competent authorities where fraudulent or unlawful conduct is established.

Art. 10 – Company Responsibilities and Obligations

Celtum Web S.r.l. undertakes:

  • a) to make the tools necessary for participation in the Program available, to the extent technically possible;

  • b) to attribute compensation to valid registrations according to these Regulations;

  • c) to provide Affiliates with information concerning their balance and payments;

  • d) to process payment requests in accordance with the established procedures and timeframes;

  • e) to adopt reasonable measures for the security and integrity of tracking systems;

  • f) to process Affiliates' personal data in compliance with applicable legislation;

  • g) to handle verification requests and disputes transparently.

The Company may carry out maintenance, technical updates and security measures that temporarily limit service availability.

Any technical anomalies reported by Affiliates will be assessed according to the principles of fairness and good faith.

Art. 11 – Duration and Termination of the Affiliate Relationship

Participation in the Program is for an indefinite period and does not involve any minimum commitment.

The Affiliate may request termination of their participation at any time through the tools available on the platform or the official support channels.

The Company may terminate the affiliate relationship if the required conditions cease to be met, in cases of serious or repeated contractual violations, or if the Program itself is discontinued.

Termination of the relationship ends the accrual of new compensation.

11.1 – Payment of the Remaining Balance

Compensation already legitimately earned remains payable to the Affiliate even after participation has ended.

Upon final termination of the affiliate relationship, the Company pays any legitimately earned remaining balance, even if it is below the ordinary €30.00 threshold.

Payment is made within 30 days of completion of the checks and receipt of the necessary tax and banking documentation, unless justified impediments are communicated to the Affiliate.

Termination of the relationship does not automatically result in the loss of properly earned compensation.

Upon termination, the Affiliate must stop using the referral link and any official promotional materials unless otherwise authorised by the Company.

Art. 12 – Amendments to the Regulations and the Program

The Company may propose amendments to these Regulations for technical, organisational, commercial, tax or regulatory reasons.

Material amendments are communicated to Affiliates by notice on the platform and/or by email to the address associated with their account, with at least 30 days' notice, except where amendments are required by mandatory legal provisions or urgent security needs.

Changes to compensation amounts, payment thresholds or essential participation requirements apply exclusively to activities performed after their effective date.

Compensation legitimately earned before an amendment remains governed by the previously applicable conditions.

Material contractual changes that are unfavourable to the Affiliate require renewed express acceptance where required by law or by the nature of the changes.

Affiliates who do not wish to accept the updated conditions may terminate their participation while retaining the right to payment of legitimately earned compensation.

Each version of the Regulations is identified by a version number and effective date.

Art. 13 – Personal Data Protection

Celtum Web S.r.l. processes Affiliates' personal data in compliance with Regulation (EU) 2016/679 (GDPR) and applicable Italian legislation.

Personal data collected under the Program is used for purposes relating to:

  • a) management of participation and the affiliate relationship;

  • b) attribution and verification of registrations;

  • c) calculation and payment of compensation;

  • d) tax, administrative and accounting obligations;

  • e) fraud prevention and platform security;

  • f) management of support requests and communications concerning the Program.

Processing is carried out on the legal bases applicable to each purpose, as specified in the Privacy Policy.

The Company adopts appropriate technical and organisational measures to protect the personal data processed.

Information concerning individuals who register through referral links is made available to Affiliates only to the extent necessary to manage and verify compensation, avoiding unjustified disclosure of third-party personal data.

For further information on personal data processing, retention periods and data subjects' rights, please refer to the Privacy Policy available on the WeMeet Club platform.

Art. 14 – Liability and Guarantees

The Company does not guarantee the Affiliate any minimum number of registrations, level of earnings or continuity in the accrual of compensation.

Participation does not constitute a promise of continuous or guaranteed income.

The Affiliate is responsible for the content and information they independently distribute as part of their referral activities, within the limits established by law.

The Company undertakes to manage the Program's technical tools with reasonable care and to investigate anomalies that may affect compensation attribution.

Any interruptions due to maintenance, faults, force majeure or events beyond the Company's control are managed in accordance with the general principles of good faith and contractual fairness.

Nothing in these Regulations excludes or limits the Company's liability for wilful misconduct, gross negligence or any other circumstances where limitation of liability is prohibited by law.

Any mandatory rights granted to the Affiliate under applicable law remain unaffected.

Art. 15 – Applicable Law and Disputes

These Regulations are governed by Italian law.

Before initiating legal proceedings, the parties undertake to consider the possibility of resolving disputes amicably through the Company's support channels, without making such an attempt a mandatory condition for exercising legal rights.

Any disputes concerning the interpretation, performance or termination of the affiliate relationship are subject to the jurisdiction of the competent judicial authority in accordance with applicable law.

Where the Affiliate qualifies as a consumer under applicable legislation, all mandatory consumer protections remain unaffected, including those relating to territorial jurisdiction.

The invalidity or unenforceability of any provision does not automatically invalidate the entire Regulations, which remain effective as to their remaining provisions, to the extent permitted by law.

Art. 16 – Acceptance of the Regulations and Conclusion of the Agreement

Joining the WeMeet Club Affiliate Program takes place through an electronic procedure provided by the Company and accessible exclusively to properly authenticated users.

Before completing registration for the Program, users must be able to read these Regulations in full and have the opportunity to retain a copy.

Acceptance is expressed by selecting a dedicated, non-preselected checkbox and subsequently confirming participation in the Program.

The Company retains, in accordance with applicable legislation, the information necessary to document acceptance, including:

  • a) the user's identifier;

  • b) the date and time of acceptance;

  • c) the version of the Regulations accepted;

  • d) any technical information used to document the expression of consent;

  • e) the declarations made by the Affiliate concerning participation requirements.

Acceptance of these Regulations is separate from the declaration concerning the occasional and non-professional nature of the activity, which must be expressly provided by the Affiliate through the procedure established by the Company.

Where clauses require specific written approval under applicable law, the Company adopts appropriate signing procedures to meet those requirements.

The Affiliate receives confirmation of participation by electronic communication or through their personal account area, with access to the applicable contractual conditions.

Participation in the Program is permitted exclusively in compliance with these Regulations and the general Terms and Conditions of Use of the WeMeet Club platform.
